Memorandum of Understanding

A company whose employee will be participating in the program as an Entrepreneur in Residence will be required to sign a Memorandum of Agreement with the Ohio Department of Administrative Services.

MEMORANDUM OF UNDERSTANDING BETWEEN THE OHIO DEPARTMENT OF ADMINISTRATIVE SERVICES, LEANOHIO OFFICE AND <insert company name>

This Memorandum of Understanding (“MOU”) is made by and between the Department of Administrative Services (“DAS”), LeanOhio Office and <company name>.

SECTION 1: SCOPE

1.1 The DAS LeanOhio Office has requested that <company name> provide LeanOhio with support for its mission of making state government simpler, better, faster and less costly.

1.2 <company name> agrees to assist LeanOhio by assigning <insert EIR name> to perform duties on behalf of LeanOhio part-time for one year, beginning <insert start date> and ending on <insert end date>.

1.3 The purpose of this MOU is to set forth the duties and responsibilities of the Entrepreneur-In-Residence (EIR) to achieve the following objectives:

a. Assist with Lean improvement events, training, planning, presentations, and more

b. Plan and conduct workshops to share best practices to the LeanOhio network

c. Provide guidance on public-private partnerships and implementation of strategies designed to improve private-sector (small business) engagement

SECTION 2: TERM

2.1 This agreement will become effective upon the execution of the parties and a mutually agreeable starting date for the EIR.

2.2 This agreement will remain in effect until <insert date>. This agreement may be terminated at the discretion of LeanOhio.

SECTION 3: COMPENSATION

3.1 <company name> agrees to be responsible for 100% of the employee’s payroll and benefits for the duration of this agreement.

SECTION 4: LEANOHIO’S RESPONSIBILITES

4.1 DAS will provide office space for the <company name> employee’s use while working at LeanOhio.

4.2 The <company name> employee’s primary work location for the duration of this assignment will be 30 E. Broad St. (State Office Tower), 40th floor, Columbus, OH 43215.

4.3 LeanOhio will maintain regular contact with <company name> to provide assessments of the work as well as the expected duration for the project.

SECTION 5: <company name> RESPONSIBILITIES

5.1 The assigned <company name> employee shall remain an employee of the <company name>. DAS/LeanOhio will have no direct employee performance reporting or supervisory responsibilities.

5.2 <company name> will provide all necessary equipment for the assigned <company name> employee’s use while working at LeanOhio.

SECTION 6: MISCELLANEOUS

6.1 This MOU shall be governed, construed and interpreted in accordance with the laws of the state of Ohio.

6.2 This MOU is subject to Section 126.07 of the Ohio Revised Code.

6.3 Any person executing this MOU in a representative capacity hereby represents that he/she has been duly authorized by his/her director to execute this MOU on such director’s behalf.

IN WITNESS WHEREOF, the parties have caused this MOU to be duly executed as of the date of the last signature below.
